These Terms of Service (the “Terms”) govern access to and use of legal services provided exclusively by Roadmap Law PLLC (“Roadmap Law”), including Roadmap Counsel, Roadmap Unlimited, and Roadmap Personal. Roadmap Ventures LLC does not provide legal services and is not a party to these Terms.
Scope of Services
Legal services are provided exclusively by Roadmap Law, through attorneys licensed to practice in authorized jurisdictions. All services are subject to professional responsibility rules and conflict-of-interest checks. Roadmap Law provides legal services within our published Practice Areas, which include corporate and transactional matters, commercial contracts, employment law, intellectual property, privacy and data security, and general business advisory services. Our attorneys are licensed in multiple jurisdictions. We regularly advise clients nationwide on matters within our Practice Areas, subject to applicable professional responsibility rules. For matters governed by laws of jurisdictions where our attorneys are not licensed, we may need to associate with local counsel or decline representation. Service Tiers
- Roadmap Personal serves individuals with personal or business matters, including contracts, NDAs, side ventures, investments, board positions, and advisory roles
- Roadmap Counsel provides companies and business entities with ongoing legal support across Roadmap's Practice Areas
- Roadmap Unlimited is an optional upgrade available only to active Roadmap Counsel subscribers, providing expanded access to routine legal services for a flat monthly fee
- Roadmap Hourly is an option for clients to pay a negotiated hourly rate, which is determined as of then-current rates via Stripe Payment Link.
Important Limitations
Subscription provides access to our services but does not guarantee acceptance of every matter. Roadmap Law may decline or discontinue any matter that exceeds our expertise, requires disproportionate resources, or presents conflicts or professional concerns. If we decline a matter after initial consultation, we will explain the reason and provide guidance on next steps, which may include referrals to appropriate counsel where available.
If a matter requires expertise outside our Practice Areas, we will make reasonable efforts to identify suitable alternative counsel. Subscription alone does not create an attorney-client relationship. That relationship forms only after conflict checks, jurisdictional verification, and Roadmap's acceptance of the specific engagement. If conflicts or jurisdictional issues prevent us from serving you after payment, we will provide a full refund.
No attorney-client relationship exists until you receive written confirmation from Roadmap Law that we have completed conflict and jurisdiction checks and accepted the specific matter—typically via an engagement confirmation email or the commencement of attorney work; any access you may be granted to the dashboard or other self-service tools before that point is provided for your convenience and use at your own risk and does not, by itself, create an attorney-client relationship.
Roadmap Unlimited Add-On Terms
For $8,000/month (including your Roadmap Counsel subscription), Roadmap Unlimited provides ongoing access to standard business legal services within our Practice Areas: routine commercial contracts and legal Q&A. Roadmap Unlimited is designed to serve as your outside general counsel for ongoing business operations. This includes contract negotiation and drafting, vendor agreements, customer terms, employment agreements and policies, corporate governance, regulatory compliance guidance, trademark applications and IP protection, privacy policy development, and general legal strategy and planning.
Roadmap Unlimited does not cover complex or specialized matters that require intensive resources or specialized expertise, including: litigation or threatened litigation; arbitration or formal dispute resolution; mergers and acquisitions; venture capital or other financing transactions; securities offerings; internal investigations; regulatory inquiries; and other projects requiring resources beyond what's appropriate for flat-fee general counsel work. These matters remain subject to separate engagement terms and billing.
You may upgrade to Roadmap Unlimited anytime while maintaining an active Roadmap Counsel subscription. Upgrades are effective immediately with charges for the current billing cycle. Roadmap Unlimited continues unless canceled at the end of a billing cycle per our cancellation terms. By upgrading, you agree that your use of Roadmap Unlimited is governed by these Terms, including all provisions of this Roadmap Unlimited section.
Eligibility and Attorney-Client Relationship
An attorney-client relationship is established only after you subscribe to Roadmap Counsel or Roadmap Personal, complete onboarding, and your subscription is formally approved by Roadmap Law following conflict-of-interest and jurisdictional checks. Once approval is indicated on your client dashboard or attorney work commences, a relationship is formed. Until such approval, communications should not be relied upon as legal advice, and no attorney-client relationship exists. Roadmap Law may only represent clients located in the United States and in jurisdictions where its attorneys are licensed to practice. If these Terms conflict with applicable bar rules, the rules of the jurisdiction in which Roadmap Law is licensed shall control with respect to legal services.
If you choose to engage on an hourly basis via Roadmap Hourly after consulting with Roadmap Law, these same terms apply regarding the establishment and scope of the attorney-client relationship. You may later elect to subscribe to one of our other plans, under these same terms or under any updated terms in effect at the time of your later subscription.
Fees, Payment, and Billing
Roadmap Counsel & Roadmap Personal. Unless we agree otherwise in writing, legal services are provided through a flat monthly subscription. This includes a set number of attorney hours each month. Roadmap Counsel and Roadmap Personal include a set number hours of legal time per billing cycle. A “billing cycle” is tied to your subscription’s monthly renewal date, not a calendar month. For example, if your subscription renews on the 15th, your billing cycle runs from the 15th of one month to the 14th of the next. The included hours can be used at any time during that cycle, but do not roll over.
Roadmap Unlimited. You can upgrade to Roadmap Unlimited at any time. When you do, the upgrade takes effect immediately. You’ll be charged the full difference between your current Roadmap Counsel plan and the Roadmap Unlimited plan. Your billing cycle stays the same. Starting with your next billing cycle, you’ll pay the full price for Roadmap Unlimited, which includes Roadmap Counsel. Roadmap Unlimited is effective during the billing cycle in which you have paid and does not carry over without an active subscription.
Subscription Pricing. All subscription fees are flat fees that are earned when paid, and they cover access to Roadmap Counsel, Roadmap Personal, or Roadmap Unlimited for that month. These payments are not held in a client trust account. If you use more hours than your plan includes, those will be billed after the month ends at your applicable hourly rate as indicated at the time of your subscription in the Pricing page on Roadmap’s website. You are also responsible for reimbursable expenses, like filing fees, courier costs, or other third-party charges, which will be invoiced separately.
If you want to cancel or downgrade your subscription (including removing Roadmap Unlimited), you can do that effective the next billing cycle by submitting the change through the customer portal before the end of your current billing cycle. If you cancel only Roadmap Unlimited, your Roadmap Counsel subscription will continue unless separately canceled. If you cancel your entire subscription, access to all Roadmap Law services will end at the close of the current billing cycle. Cancellations or downgrades are not retroactive, and you remain responsible for the full subscription through the end of the billing cycle.
If you upgrade to Roadmap Unlimited mid-cycle, the upgrade takes effect immediately and you’ll be charged the full upgrade fee, but your billing cycle and included hours remain unchanged. Roadmap Unlimited is not prorated, so we recommend upgrading only if you expect to need its benefits during the remainder of current billing cycle. If you do not, then update at the beginning of the following billing cycle using your customer portal.
We may update our subscription pricing from time to time. Any changes will apply only to billing cycles that start on or after the effective date we specify in our notice and will not affect your then-current billing cycle. We’ll notify you at least 30 days in advance using the email associated with your account. By continuing your subscription into a billing cycle that starts on or after the effective date of the new pricing, you agree to the updated pricing. Clients access services, view billing, and manage subscriptions through the Roadmap client portal at www.app.useroadmap.co.
Confidentiality and Attorney-Client Privilege
All communications with Roadmap Law attorneys are confidential and protected by attorney-client privilege, to the extent permitted by law. Such privileged communications will not be shared without client consent, except where disclosure is required by law.
Communication Methods. Roadmap Law may communicate with clients through various methods, including but not limited to email, phone, video conferencing, and approved third-party platforms such as Slack and Google Workspace. By subscribing to Roadmap Law services, you authorize and consent to the use of these communication channels for legal communications. All communications with Roadmap Law attorneys through these authorized channels are intended to be confidential and are protected by attorney-client privilege to the extent permitted by law.
Third-Party Platform Use. When using third-party communication platforms such as Slack, you acknowledge that these platforms have their own security measures and terms of service. While Roadmap Law takes reasonable precautions to maintain confidentiality, you consent to the inherent risks of electronic communications and third-party platforms. To maintain attorney-client privilege, legal discussions should occur only in private channels or direct messages with Roadmap Law attorneys, and you should not include non-privileged parties in confidential legal communications.
Technology and AI Usage
Roadmap Law employs proprietary and third-party technology tools, including artificial intelligence-assisted applications, to support delivery of legal services. Any AI-assisted work product is reviewed and approved by a licensed attorney before delivery. Roadmap Law does not input privileged legal information into third-party AI systems unless such use complies with confidentiality obligations and applicable rules of professional conduct. By using Roadmap Law’s services, you consent to the use of these technologies as described.
Conflicts of Interest
Before accepting any matter, Roadmap Law will conduct a conflict-of-interest review. If a non-waivable conflict exists, representation may be declined or terminated. Unless such a direct conflict exists, you consent to Roadmap Law representing other clients whose interests may differ from or be adverse to yours, provided your confidential information remains protected.
Intellectual Property
Upon full payment of all fees, you shall own all work product created specifically for you in the course of legal services, excluding any third‑party materials that are incorporated under separate licenses (such as open‑source or Creative Commons content), which will remain subject to their applicable licenses. Roadmap Law retains ownership of all pre-existing intellectual property, including templates, forms, processes, methodologies, software, trademarks, and other proprietary materials. To the extent Roadmap Law’s intellectual property is incorporated into deliverables, you are granted a limited, non-transferable license to use such materials solely for your internal business purposes.
Certain contract templates and provisions made available through this site are adapted from or incorporate Bonterms Standard Agreements and related materials, which Bonterms makes available under the Creative Commons Attribution 4.0 International license (CC BY 4.0). Bonterms is not a party to any agreements you enter using these templates and does not provide you with legal advice. Disclaimers and Limitations of Liability
Liability for legal services is governed by applicable malpractice law and professional conduct rules and shall not exceed the fees paid to Roadmap Law for legal services during the six months preceding the event giving rise to the claim. Roadmap Law shall not be liable for indirect, incidental, consequential, or punitive damages, except to the extent prohibited by professional conduct rules or law.
Dispute Resolution and Arbitration
To the fullest extent permitted by law, disputes relating to Roadmap Law, Roadmap Counsel, Roadmap Personal, or Roadmap Unlimited shall be resolved exclusively through binding arbitration administered by the American Arbitration Association in Palm Beach County, Florida, under its Commercial Arbitration Rules, unless otherwise required by attorney licensing rules. BY AGREEING TO ARBITRATION, YOU WAIVE THE RIGHT TO A JURY TRIAL AND TO PARTICIPATE IN CLASS, COLLECTIVE, OR REPRESENTATIVE ACTIONS. Court proceedings shall be limited to compelling arbitration, enforcing or vacating an award, or seeking provisional remedies in aid of arbitration, and shall be brought exclusively in the state or federal courts of Palm Beach County, Florida. BY ACCEPTING THESE TERMS, YOU PROVIDE INFORMED WRITTEN CONSENT TO ARBITRATION OF DISPUTES RELATING TO LEGAL SERVICES.
Governing Law and Professional Responsibility
These Terms are governed by the substantive laws and professional responsibility rules of the jurisdictions in which Roadmap Law attorneys are licensed. In the event of conflict between these Terms and applicable bar rules, the bar rules shall control.
Termination of Services
You may terminate Roadmap Counsel, Roadmap Personal, or Roadmap Unlimited at any time by written notice. Roadmap Law may withdraw from representation in accordance with professional conduct rules, including for nonpayment, conflicts, or where continued representation would violate law or ethics. Clients remain responsible for fees incurred through the termination date. Roadmap will take reasonable steps to protect your interests, including returning materials and unearned funds as required by law.
Plan Changes and Cancellations
You may cancel Roadmap Counsel, Roadmap Personal, or Roadmap Unlimited or upgrade to Roadmap Unlimited with an active Roadmap Counsel plan at any time. Unless otherwise agreed or required by applicable professional rules, cancellations are effective at the end of the current billing cycle, and subscription fees for that billing cycle are not refunded for partial months. Upgrades to Roadmap Unlimited will be billed immediately on a prorated basis for the remainder of that month and billed at the full rate thereafter. Roadmap Law reserves the right to modify offerings, fees, or eligibility at any time.
Assignment
You may not assign your rights or obligations under these Terms without Roadmap Law’s prior written consent. Roadmap Law may assign its rights and obligations in connection with a merger, restructuring, asset sale, or similar transaction, subject to compliance with bar rules.
Data and Privacy
Roadmap Law collects and processes personal information in accordance with its Privacy Policy, available at www.useroadmap.co/privacy, incorporated by reference into these Terms. By using Roadmap’s services, you consent to data practices as described in that policy.
Entire Agreement and Amendments
These Terms, together with any supplemental add-on terms and written statements of work, constitute the entire agreement between you and Roadmap Law. Roadmap Law may update these Terms periodically. Material changes affecting scope of representation, fees, or engagement terms will only apply with notice and client consent.
Relationship with Roadmap Ventures LLC
Roadmap Ventures LLC and Roadmap Law PLLC are affiliated entities that operate independently to provide distinct services: Roadmap Ventures offers non-legal business consulting solutions, while Roadmap Law provides legal services exclusively through licensed attorneys. Although clients may engage one or both entities, each operates under separate professional and regulatory obligations. Client data is segregated accordingly, and Roadmap maintains strict internal protocols to ensure that information shared with Roadmap Ventures is not used by Roadmap Law (and vice versa) without proper authorization.
Acceptance
By subscribing to Roadmap Counsel or Roadmap Personal, you acknowledge that you have read, understood, and agree to be bound by these Terms and our Privacy Policy. If you are subscribing on behalf of a business or other legal entity for Roadmap Counsel, you represent that you have authority to bind that entity, which shall be deemed the client under this agreement. If you are subscribing for Roadmap Personal as an individual, you will be deemed the client under this agreement. Once legal services commence following applicable conflict and jurisdictional checks, these Terms will also constitute your legal engagement agreement with Roadmap Law. Your subscription, including date and time of processing, is recorded and retained for compliance purposes and serves as evidence of your acceptance.
