Terms of Service
These Terms of Service (the "Terms") govern access to and use of services provided by Roadmap Law PLLC ("Roadmap Law") and Roadmap Ventures LLC ("Roadmap Ventures"), operating collectively as Roadmap. Roadmap Law provides legal services exclusively through licensed attorneys. Roadmap Ventures provides product studio, advisory, and non-legal business services. These Terms apply to all services across both entities.
Scope of Services
Legal Services (Roadmap Law PLLC)
Legal services are provided exclusively by Roadmap Law, through attorneys licensed to practice in authorized jurisdictions. All legal services are subject to professional responsibility rules and conflict-of-interest checks.
Roadmap Law provides legal services within our published Practice Areas, which include corporate and transactional matters, commercial contracts, employment law, intellectual property, privacy and data security, technology transactions, and general business advisory services. Our attorneys are licensed in multiple jurisdictions. We regularly advise clients nationwide on matters within our Practice Areas, subject to applicable professional responsibility rules. For matters governed by laws of jurisdictions where our attorneys are not licensed, we may need to associate with local counsel or decline representation. Ventures Services (Roadmap Ventures LLC)
Roadmap Ventures provides non-legal services including product strategy, technology advisory, and business consulting. Ventures services do not constitute legal advice and are not subject to attorney-client privilege. Ventures engagements are governed by contractual confidentiality obligations and the same platform security controls as legal engagements.
Important Limitations
Engagement with Roadmap does not guarantee acceptance of every matter or project. Roadmap Law may decline or discontinue any matter that exceeds our expertise, requires disproportionate resources, or presents conflicts or professional concerns. If we decline a matter after initial consultation, we will explain the reason and provide guidance on next steps, which may include referrals to appropriate counsel where available.
If a matter requires expertise outside our Practice Areas, we will make reasonable efforts to identify suitable alternative counsel.
Attorney-Client Relationship
No attorney-client relationship exists until you receive written confirmation from Roadmap Law that we have completed conflict and jurisdiction checks and accepted the specific matter — typically via an engagement confirmation message in your Slack channel or the commencement of attorney work. Any access you may be granted to the billing portal or other self-service tools before that point is provided for your convenience and does not, by itself, create an attorney-client relationship.
Roadmap Law may only represent clients located in the United States and in jurisdictions where its attorneys are licensed to practice. If these Terms conflict with applicable bar rules, the rules of the jurisdiction in which Roadmap Law is licensed shall control with respect to legal services.
Roadmap Ventures engagements do not create an attorney-client relationship. Ventures services are governed by standard commercial terms and contractual confidentiality, not attorney-client privilege.
Fees, Payment, and Billing
Flat-Rate Document Services
Roadmap Law's standard pricing for document review and related legal services is $500 per document. This flat fee covers the full lifecycle of a single document engagement — from initial review through redlining, negotiation support, and finalization. The fee is the same regardless of document type, complexity, or practice area.
The flat-rate fee is earned upon commencement of work and is non-refundable once attorney work has begun on the document. If Roadmap Law is unable to complete a document engagement due to conflicts, jurisdictional issues, or other circumstances within our control, we will provide a full refund.
Hourly Services
For matters that are not suited to flat-rate pricing — including complex transactions, advisory work, or matters requiring extended attorney involvement — Roadmap Law offers hourly billing at a negotiated rate. Hourly rates are established at the time of engagement and confirmed in writing. Hourly services are governed by these same Terms but are subject to separate payment terms for the specific engagement.
If you begin on a flat-rate basis and a matter evolves to require hourly work, your attorney will notify you and obtain your consent before transitioning to hourly billing.
Ventures Services
Roadmap Ventures pricing is determined on a per-engagement basis and confirmed in writing before work begins. Ventures fees are separate from and do not affect Roadmap Law fees.
Payment and Billing
All payments are processed through Stripe via the Roadmap client portal at app.useroadmap.co. You are responsible for maintaining a valid payment method on file. Flat-rate document fees are charged upon submission or at the commencement of work. Hourly fees are invoiced at the conclusion of the billing period or upon completion of the matter, whichever comes first.
You are also responsible for reimbursable expenses — such as filing fees, courier costs, or other third-party charges — which will be invoiced separately.
Roadmap Law does not hold flat-rate fees in a client trust account. These fees are earned when paid. Any unearned portions of hourly retainers, if applicable, will be held and managed in accordance with applicable professional responsibility rules.
Pricing Changes
We may update our pricing from time to time. Any changes will apply only to new engagements commenced on or after the effective date of the new pricing and will not affect matters already in progress. We will notify you at least 30 days in advance of any pricing changes using the email associated with your account.
How the Platform Works
Roadmap delivers services through an integrated platform. Understanding how it works helps you understand how your data moves and how we maintain security and privilege.
Slack Connect. Your primary interaction with Roadmap is through a dedicated Slack Connect channel. This is where you upload documents, communicate with your attorney, and receive completed work product. Your channel is private and isolated — accessible only to your authorized team members, your assigned Roadmap attorney, and Roadmap's AI assistant operating under attorney direction.
AI-Assisted Analysis. Documents you submit may be processed by AI tools for first-pass analysis before attorney review. The AI operates under attorney supervision and its output is never delivered to you without attorney approval. Our AI provider maintains a strict zero data retention policy — your document content is processed in real time and immediately discarded. No client data is used to train AI models. Attorney Review. Every document and deliverable is reviewed by a licensed attorney before delivery. AI-assisted analysis is a starting point for attorney work, not a substitute for it.
Billing Portal. The Roadmap client portal at app.useroadmap.co is where you manage your account, view documents processed, track your running tab, and handle payments. The portal does not contain privileged legal content — it is an administrative and billing interface only.
Opt-Out of AI Processing. You may opt out of AI-assisted processing at any time by notifying us at support@useroadmap.co. If you opt out, your attorney will handle all review and analysis directly. This may affect turnaround times.
Confidentiality and Attorney-Client Privilege
All communications with Roadmap Law attorneys are confidential and protected by attorney-client privilege, to the extent permitted by law. Privileged communications will not be shared without client consent, except where disclosure is required by law.
Communication Channels
Roadmap Law communicates with clients through Slack Connect channels, email, phone, video conferencing, and other approved platforms including Google Workspace. By engaging Roadmap Law, you authorize and consent to the use of these communication channels for legal communications. All communications with Roadmap Law attorneys through these authorized channels are intended to be confidential and protected by attorney-client privilege to the extent permitted by law.
Third-Party Platforms
When using third-party communication platforms such as Slack, you acknowledge that these platforms have their own security measures and terms of service. Roadmap Law takes reasonable precautions to maintain confidentiality, and you consent to the inherent risks of electronic communications and third-party platforms. To maintain attorney-client privilege, legal discussions should occur only in your private Slack Connect channel or in direct communications with Roadmap Law attorneys. Do not include non-privileged parties in confidential legal communications.
Ventures Confidentiality
Communications with Roadmap Ventures are subject to contractual confidentiality obligations but are not protected by attorney-client privilege. If you engage both entities, information shared with one entity is not shared with the other without your authorization.

Technology and AI Usage
Roadmap employs proprietary and third-party technology tools, including artificial intelligence, to support delivery of services. For legal services provided by Roadmap Law, any AI-assisted work product is reviewed and approved by a licensed attorney before delivery. Roadmap Law does not input privileged legal information into third-party AI systems unless such use complies with confidentiality obligations and applicable rules of professional conduct.
Our AI provider maintains a zero data retention policy for API requests. Document content is processed in real time and not stored, logged, or retained after the request completes. No client data is used to train, fine-tune, or improve AI models. Only billing metadata (token count, model used, timestamp) is retained by the AI provider. See our Security page for full details.
By using Roadmap's services, you consent to the use of these technologies as described.
Conflicts of Interest
Before accepting any legal matter, Roadmap Law will conduct a conflict-of-interest review. If a non-waivable conflict exists, representation may be declined or terminated. Unless such a direct conflict exists, you consent to Roadmap Law representing other clients whose interests may differ from or be adverse to yours, provided your confidential information remains protected.
If conflicts or jurisdictional issues prevent us from serving you after payment, we will provide a full refund.
Intellectual Property
Upon full payment of all fees, you own all work product created specifically for you in the course of your engagement, excluding any third-party materials incorporated under separate licenses (such as open-source or Creative Commons content), which remain subject to their applicable licenses.
Roadmap retains ownership of all pre-existing intellectual property, including templates, forms, processes, methodologies, software, trademarks, and other proprietary materials. To the extent Roadmap's intellectual property is incorporated into deliverables, you are granted a limited, non-transferable license to use such materials solely for your internal business purposes.
Disclaimers and Limitations of Liability
To the maximum extent permitted by applicable law, including professional conduct rules governing attorney liability, the aggregate liability of Roadmap — whether arising from services provided by Roadmap Law PLLC, Roadmap Ventures LLC, or both — shall not exceed the total fees actually paid by you to either or both entities during the six months preceding the event giving rise to the claim. This cap applies regardless of which entity the claim is made against and encompasses all claims arising from or related to services provided under these Terms, whether based in contract, tort, malpractice, or any other theory.
This limitation is subject to applicable bar rules and professional responsibility obligations. To the extent any jurisdiction's professional conduct rules establish a different standard for attorney liability, those rules shall control with respect to legal services provided by Roadmap Law PLLC.
Roadmap shall not be liable for indirect, incidental, consequential, or punitive damages, except to the extent such limitation is prohibited by professional conduct rules or applicable law.
Dispute Resolution and Arbitration
To the fullest extent permitted by law, disputes relating to Roadmap services shall be resolved exclusively through binding arbitration administered by the American Arbitration Association in New York, New York, under its Commercial Arbitration Rules, unless otherwise required by attorney licensing rules.
BY AGREEING TO ARBITRATION, YOU WAIVE THE RIGHT TO A JURY TRIAL AND TO PARTICIPATE IN CLASS, COLLECTIVE, OR REPRESENTATIVE ACTIONS.
BY ACCEPTING THESE TERMS, YOU PROVIDE INFORMED WRITTEN CONSENT TO ARBITRATION OF DISPUTES RELATING TO SERVICES PROVIDED UNDER THESE TERMS.
Court proceedings shall be limited to compelling arbitration, enforcing or vacating an award, or seeking provisional remedies in aid of arbitration, and shall be brought exclusively in the state or federal courts located in New York, New York.
Governing Law and Professional Responsibility
These Terms are governed by the laws of the State of New York and the professional responsibility rules of the jurisdictions in which Roadmap Law attorneys are licensed. In the event of conflict between these Terms and applicable bar rules, the bar rules shall control with respect to legal services.
Termination of Services
You may terminate your engagement with Roadmap at any time by written notice. Roadmap Law may withdraw from representation in accordance with professional conduct rules, including for nonpayment, conflicts, or where continued representation would violate law or ethics.
Clients remain responsible for fees incurred through the termination date. Upon termination, Roadmap will take reasonable steps to protect your interests, including returning materials and unearned funds as required by law.
Data and Privacy
Roadmap collects and processes personal information in accordance with its Privacy Policy, incorporated by reference into these Terms. By using Roadmap's services, you consent to data practices as described in that policy. For data protection inquiries, contact privacy@useroadmap.co.
Relationship Between Roadmap Law PLLC and Roadmap Ventures LLC
Roadmap Law PLLC and Roadmap Ventures LLC are affiliated entities that operate independently to provide distinct services. Roadmap Ventures provides non-legal business consulting and product studio services. Roadmap Law provides legal services exclusively through licensed attorneys.
Although clients may engage one or both entities, each operates under separate professional and regulatory obligations. Client data is segregated through role-based access controls, and Roadmap maintains strict internal protocols to ensure that information shared with one entity is not accessed by the other without proper authorization.
Engaging Roadmap Ventures does not create an attorney-client relationship. Engaging Roadmap Law does not create a consulting or advisory relationship with Roadmap Ventures.
Assignment
You may not assign your rights or obligations under these Terms without Roadmap's prior written consent. Roadmap may assign its rights and obligations in connection with a merger, restructuring, asset sale, or similar transaction, subject to compliance with applicable bar rules.
Entire Agreement and Amendments
These Terms, together with the Privacy Policy, any supplemental engagement terms, and any written statements of work, constitute the entire agreement between you and Roadmap. Roadmap may update these Terms periodically. Material changes affecting scope of representation, fees, or engagement terms will be communicated with at least 30 days' notice and will apply only to new engagements or billing periods commencing after the effective date.
Acceptance
By creating an account and accepting these Terms through the Roadmap platform, you acknowledge that you have read, understood, and agree to be bound by these Terms and our Privacy Policy.
If you are engaging on behalf of a business or other legal entity, you represent that you have authority to bind that entity, which shall be deemed the client under this agreement. If you are engaging as an individual, you will be deemed the client.
For legal services, these Terms also constitute your engagement agreement with Roadmap Law, subject to completion of conflict and jurisdictional checks and Roadmap Law's acceptance of the specific matter. The attorney-client relationship forms only upon that acceptance, as described in the Attorney-Client Relationship section above.
Your acceptance, including date and time, is recorded and retained for compliance purposes and serves as evidence of your agreement to these Terms.
